Sign Board Resolution

Most requests end with a resolution that the directors sign in the Cloud Secretary. This guide shows how to find a resolution and sign it electronically. A resolution passes once more than 51% of the directors have signed.

Reading a resolution card

Each resolution waiting for you appears as a card in the Signature tab:

  • Posted On. When the resolution was sent for signing.
  • Due On. The signing deadline.
Time Left. A countdown to the deadline.
  • Signature Received. How many directors have signed, for example 0/2. More than 51% must sign for the resolution to pass.

Steps

  1. Open Signature. Click Signature in the top menu.
  2. Open the resolution. Click the card. The E-Acceptance panel shows the company and what the resolution approves, for example the current and new financial year end.
  3. Confirm the signature is yours. Tick the box confirming that the signature is yours, unique to you and under your sole control.
  4. Add your signature. Draw your signature in the box, click Use Saved Signature, or click Upload to use an image. Click Clear Signature to redo it. Click Save, and confirm if you want to save it for next time.
  5. Enter your name and sign. Type your name in the Name field, then click Sign.

What happens next

Directors receive an email when a resolution is waiting to be signed, when it passes and when it expires. When enough directors have signed, the resolution passes and HeySara continues with the request, for example the ACRA filing. If the due date passes first, the resolution expires and does not pass. The signed resolution then appears in Recently Added Docs on the Home tab and in the Document tab (see Access Documents).
